Owenstown Co-op will operate as a group structure and control all activities within the Group.
All development and profit making activities will be channelled through a Non Charitable Company but with a mechanism to covenant profits to Owenstown Co-op. This arrangement safeguards the charitable status of Owenstown.
The Group will comprise the following companies:
Owenstown Co-op as the Parent company
Sets performance, exercises financial control, controls operations of Development and Management Companies and operates with probity;
Owenstown Development Company (subsidiary)
a Company Limited by Guarantee which covenants profits to the Parent, undertaking commercial transactions;
Management Company (subsidiary)
a series of management companies would be set up to undertake specific roles but all companies would be co-operatives (I & P S Rules).
This company structure can be extended to meet operational requirements as required.
Energy Services Company (independent).
This Company will be responsible for planning, developing, distributing and managing low and zero carbon energy generation. It needs to be independent from Owenstown Co-op but it would operate with common board membership.
